Legal & Compliance

Terms & Conditions

By engaging Civic Matrix Analytics for any service, you agree to the following terms. All engagements are subject to a signed Service Agreement.

1. Engagement & Service Agreement+

All engagements are governed by a written Service Agreement executed prior to commencement of any work. Scope, timelines, payment schedule, and constituency coverage are defined exclusively in the signed Agreement.

  • No verbal commitments constitute a binding agreement unless confirmed in writing.
  • CMA reserves the right to decline any engagement at its sole discretion.
  • Any scope expansion requires a formal written amendment signed by both parties.
  • Sub-contracting to vetted partners does not alter CMA's primary obligations to the Client.
2. Confidentiality & Data Security+

CMA treats all client-specific data, survey findings, voter analytics, and strategic recommendations as strictly confidential.

  • CMA shall not share, sell, or disclose any Confidential Information to any third party without express written consent.
  • All field data, survey outputs, voter databases, and reports vest in the Client upon full settlement of payments.
  • All CMA staff and field agents are bound by confidentiality obligations through employment and contractor agreements.
  • Upon termination, CMA shall securely delete or return all client-specific data as instructed.
  • The Client agrees to maintain the confidentiality of CMA's proprietary methodologies and frameworks.
3. Payment Terms+

All fees are as specified in the Service Agreement. Standard payment terms are as follows:

  • An advance payment is required before commencement. CMA will not initiate field deployment prior to confirmed receipt.
  • Milestone-linked payments shall be made as per the schedule in the Service Agreement.
  • All payments are non-refundable once the relevant phase has commenced, unless CMA is in material breach.
  • Late payments may attract interest at 1.5% per month calculated from the due date.
  • All pricing is exclusive of applicable taxes. GST and statutory levies are charged additionally.
  • Invoice disputes must be raised within 7 days of receipt; amounts not disputed are deemed accepted.
4. Accuracy, Limitations & No-Guarantee Clause+

CMA applies rigorous scientific methodology to all services. However, the following limitations apply:

  • CMA does not guarantee any electoral outcome. Survey predictions and models are analytical tools — not guarantees of victory or specific vote-share outcomes.
  • Survey findings represent voter sentiment at the time of fieldwork. Voter behaviour is dynamic and may shift due to factors outside CMA's control.
  • War Room outcomes depend on the quality and reliability of the Client's booth-agent network. Ground execution is a shared responsibility.
  • Social media performance depends on platform algorithm changes and audience behaviour beyond CMA's direct control.
  • CMA shall not be liable for inaccuracies arising from incorrect information provided by the Client.
5. Intellectual Property+

CMA retains full ownership of its proprietary methodologies, analytical frameworks, index models (MSI, Booth Index, Area Index), prediction algorithms, and War Room systems.

  • Deliverables produced specifically for the Client vest in the Client upon full payment of all dues.
  • The Client may not reverse-engineer, reproduce, or sublicense CMA's proprietary tools without written permission.
  • CMA may reference its engagement in anonymised form for business development purposes unless the Client explicitly requests otherwise.
6. Ethical & Legal Compliance+

CMA operates strictly within the legal framework governing electoral activities in India, including the Representation of the People Act and Election Commission of India guidelines.

  • CMA will not engage in or facilitate voter suppression, electoral fraud, vote buying, impersonation, or any activity violating the Model Code of Conduct.
  • The Client agrees that all campaign activities informed by CMA's intelligence shall comply with Indian electoral law. CMA shall not be liable for the Client's unlawful use of CMA's outputs.
  • CMA reserves the right to terminate immediately if it determines services are being used for illegal or unethical electoral activities.
  • All digital advertising campaigns comply with Meta Ads, Google Ads, and relevant platform political advertising transparency requirements.
7. Termination+
  • By Client: 14 days' written notice required. Fees for completed work and incurred expenses are non-refundable. Advance payments for undelivered phases may be refunded at CMA's discretion, less administrative costs.
  • By CMA: CMA may terminate immediately for non-payment, breach of confidentiality, or suspected unlawful use. Completed work product delivered upon settlement of outstanding dues.
  • Termination does not affect accrued payment obligations or confidentiality obligations, which survive termination indefinitely.
8. Limitation of Liability+
  • CMA's total aggregate liability for any claim shall not exceed the total fees paid by the Client under the relevant Service Agreement.
  • CMA shall not be liable for indirect, consequential, or punitive damages, including loss of electoral outcome or political opportunity costs.
  • Force majeure events — natural disasters, Election Commission directives, platform policy changes — relieve CMA of obligations for the affected duration without constituting a breach.
9. Governing Law & Dispute Resolution+

These terms are governed by the laws of India, with jurisdiction of the courts of Chennai, Tamil Nadu.

  • Disputes shall first be attempted through good-faith negotiation within 15 days of written notice.
  • If negotiation fails, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator agreed upon by both parties.
  • Seat and venue of arbitration shall be Chennai, Tamil Nadu. Proceedings conducted in English.
10. Amendments & Entire Agreement+

These Terms, together with the signed Service Agreement, constitute the entire agreement between CMA and the Client and supersede all prior representations and proposals.

  • CMA may update these Terms periodically. Updated terms apply to new engagements from the date of publication.
  • No amendment to a specific Service Agreement is valid unless documented in a written addendum signed by authorised representatives of both parties.
  • If any provision is found unenforceable, the remaining provisions continue in full force.
